1. Agreement

By using the services of 365PrepCenter ("we", "us", "our"), you ("Client") agree to these Terms of Service. These terms govern all prep, fulfillment, storage, and related services provided at our facility located at 3515 Columbia Road, Unit 2105, Lebanon, OH 45036, USA.

2. Services

365PrepCenter provides the following services to e-commerce sellers:

  • Amazon FBA prep and labeling
  • FBM order fulfillment
  • Inventory storage
  • Kitting and bundling
  • Returns and FBA removals processing
  • Food and grocery prep services

Specific service details, timelines, and pricing are confirmed individually for each client.

3. Pricing and Payment

  • All pricing is per-unit or per-service as listed on our Pricing page
  • Invoices are issued monthly or after completion of large jobs
  • Accepted payment methods: Wire transfer, ACH, Wise, Zelle
  • Payment is due within 7 days of invoice date unless otherwise agreed
  • All services are logged in our management system — no hidden charges

4. Client Responsibilities

  • Provide accurate product information, dimensions, and prep requirements
  • Ensure products comply with Amazon's and applicable platform requirements
  • Notify us of any hazardous materials, restricted products, or special handling needs before shipment
  • Respond to communications in a timely manner

5. Shipping Labels Policy

365PrepCenter operates in strict compliance with carrier regulations. The following requirements apply to all shipments processed at our facility:

  • Only legally purchased shipping labels are accepted — no counterfeit, fraudulent, or unpaid labels
  • All labels must be purchased directly from USPS, UPS, FedEx, or their authorized distributors
  • We reserve the right to refuse processing any shipment with labels that appear irregular, reprinted, or of uncertain origin
  • Any client found using fraudulent shipping labels will have their account immediately suspended and may be reported to the relevant carrier and authorities
  • 365PrepCenter bears no responsibility for shipments delayed, seized, or penalized due to client-provided non-compliant labels

6. Storage

  • Storage is charged per cubic foot or per pallet per month
  • Inventory left for more than 60 days without communication may incur additional storage fees
  • We reserve the right to request removal of inventory after 90 days of inactivity

6. Liability

365PrepCenter takes reasonable care of all inventory in our facility. However:

  • Our liability for lost or damaged items is limited to the declared value of the item, up to a maximum of $50 per unit unless otherwise agreed in writing
  • We are not responsible for losses caused by incorrect client-provided information, Amazon policy changes, or events beyond our control (force majeure)
  • We do not guarantee specific Amazon sales performance, Buy Box results, or ranking outcomes

8. Intellectual Property

All content on the 365PrepCenter website (text, images, design) is the property of 365PrepCenter and may not be reproduced without written permission.

9. Termination

Either party may terminate the service relationship with 14 days written notice. Outstanding invoices must be paid in full. Client inventory must be retrieved or redirected within 30 days of termination.

10. Governing Law

These Terms are governed by the laws of the State of Ohio, USA. Any disputes shall be resolved in the courts of Warren County, Ohio.

11. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance. We will notify active clients of significant changes by email.
